Terms of Service

These terms are an agreement between you and Intellizu LLC (“Chamberzu”, “we”, “us”) governing your use of the Chamberzu platform and this website. If you are accepting these terms on behalf of an organization, you represent that you have authority to bind that organization, and “you” means that organization.

If you have a signed order form or master agreement with us, that document controls where it conflicts with these terms.

The service

Chamberzu is a software-as-a-service platform for chamber of commerce management, including membership records, events and ticketing, dues billing, a public member directory, a member portal, and reporting.

We may add, change, or remove features. If we remove or materially degrade a feature you rely on, we will give you at least 30 days’ notice by email. We will not make a change during your subscription term that removes a core module you are paying for.

Accounts and access

You are responsible for the accuracy of your account information, for the actions taken under your accounts, and for keeping credentials secure. Tell us promptly if you believe an account has been compromised.

You may create accounts for your staff, your board, your committee volunteers, and your bookkeeper at no additional charge. Member portal accounts for your member businesses are likewise included.

Fees and payment

Subscription fees are billed monthly or annually in advance, at the plan and rate on your order form or the plan you selected at signup.

• Annual plans are paid up front for the term.
• Monthly plans renew automatically each month until cancelled.
• Taxes are your responsibility where applicable.
• Late payment. If an invoice is more than 30 days overdue we may suspend access after written notice. We will not delete your data for non-payment without first giving you an opportunity to export it.

Fees are non-refundable except where required by law or expressly stated here. If you cancel an annual plan mid-term, your access continues to the end of the paid term.

Price changes

We may change pricing with at least 30 days’ written notice. A price change takes effect at your next renewal, never mid-term.

Payment processing

Payments you collect from your members are processed by Stripe through your own connected account. Stripe’s processing fees are charged by Stripe under its own agreement with you. We do not mark up payment processing and we do not take a percentage of your dues or ticket revenue.

Your data

You own your data. All member records, contacts, invoices, payments, events, registrations, and content you upload or create remain yours. We claim no ownership of it.

You grant us the limited licence necessary to host, process, transmit, back up, and display that data in order to provide the service to you, and to act as your processor under our privacy policy.

Export. You may export all of your data at any time, in open formats, without asking us and without a fee. On termination we will provide a full export on request.

Aggregate insights. We may use aggregated, de-identified information about how the platform is used to improve it. This never includes your members’ identities or your chamber’s records in an identifiable form, and it is never sold or shared for anyone else’s marketing.

Your responsibilities

You are responsible for the lawfulness of the data you put into Chamberzu — including having a proper basis to store and communicate with your members — and for how your staff and volunteers use the platform.

Acceptable use

You agree not to:

• Send unsolicited bulk commercial messages through the platform, or use it in violation of anti-spam law.
• Upload malware, or content that is unlawful, defamatory, or infringing.
• Attempt to access accounts, data, or systems you are not authorised to access.
• Probe, scan, or test the vulnerability of the platform without our written permission — see our responsible disclosure policy for the sanctioned route.
• Interfere with or place unreasonable load on the platform’s operation.
• Resell or provide the service to a third party as a service bureau without our agreement.

We may suspend access to address an active security threat or a violation that risks harm to others, and will tell you why as soon as we reasonably can.

Availability and support

We aim to keep the platform available at all times and maintain automated backups with documented restore procedures. Planned maintenance is scheduled outside United States business hours where practical, with advance notice for anything expected to cause interruption.

Support is included on every plan by email. Response-time commitments vary by plan and are described on the pricing page. Contractual uptime commitments apply only where an SLA is included in a signed order form.

Third-party services

Chamberzu integrates with third-party services, including Stripe and Amazon Web Services. Your use of those services is governed by their own terms, and we are not responsible for their acts or omissions.

Intellectual property

We retain all rights in the Chamberzu platform, software, documentation, and branding. Nothing here transfers those rights to you beyond the right to use the service during your subscription.

Feedback and suggestions you send us may be used to improve the product without obligation or compensation to you.

Confidentiality

Each party will protect the other’s non-public information disclosed in connection with this agreement with at least reasonable care, and will use it only to perform under this agreement. This does not apply to information that is public, independently developed, or required to be disclosed by law.

Warranties and disclaimers

We warrant that the service will be provided with reasonable skill and care, and that we will not materially reduce its security protections during your term.

Otherwise, and to the maximum extent permitted by law, the service is provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue.

Our total aggregate liability arising out of or relating to this agreement is limited to the fees you paid us in the three months preceding the event giving rise to the claim.

Nothing here limits liability that cannot be limited by law.

Term and termination

This agreement continues while you have an active subscription.

• You may terminate at any time. There is no notice period and no exit fee. Access continues to the end of your paid term.
• We may terminate for material breach that is not cured within 30 days of written notice, or immediately for a violation of the acceptable use section that risks harm to others.
• On termination, your access ends, we provide a full export on request, and we delete your data within 90 days — or sooner if you ask.

Sections that by their nature should survive termination — data ownership, confidentiality, disclaimers, limitation of liability, and governing law — do survive.

Changes to these terms

We may update these terms. For material changes we will give account holders at least 30 days’ notice by email before they take effect, and the “last updated” date above will change. If you do not agree to a material change, you may terminate before it takes effect and we will refund any prepaid, unused fees.

Governing law

These terms are governed by the laws of the United States and of the state in which Intellizu LLC is organized, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state. The specific venue is identified in any signed order form; ask us at legal@chamberzu.com if you need it confirmed before signing.

General

These terms, together with any signed order form and our privacy policy, are the entire agreement between us on this subject. If any provision is held unenforceable, the rest remains in effect. Neither party may assign this agreement without the other’s consent, except in connection with a merger or sale of substantially all assets. A failure to enforce a provision is not a waiver of it.
